Last updated: 2026-09-17
Introduction
Welcome to UPMIC products and services. These Terms of Service ("Terms") are issued by Aimaike (Shenzhen) Technology Co., Ltd. ("we," "us," or "UPMIC") and govern your access to and use of the UPMIC official website, the ADA mobile application ("ADA App"), the web user center / console ("Console"), and related APIs, documentation, and online tools (collectively, the "Services").
By using the Services, you agree to these Terms. If you do not agree, do not use the Services. Please also read our Privacy Policy to understand how we process personal data.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Services
UPMIC provides the ADA AI assistant, related hardware and semiconductor supply-chain information, and supporting web and account services. Features may include marketing and product pages, contact forms, web login and account linking, usage and billing in the Console, team management (where applicable), downloads, and voice and multimodal AI features in the ADA App.
The ADA App and website accounts are linked (for example via QR sign-in). The Console is a primary place to manage subscriptions, usage, and account settings for ADA users.
We may offer beta, preview, or experimental features ("Beta Features") as-is; they may change or be discontinued and should not be solely relied upon for mission-critical use.
2. Eligibility and Accounts
You must meet the age of majority in your jurisdiction to register or use sign-in features.
You must provide accurate information and keep it up to date. You are responsible for safeguarding credentials and activity under your account. Report unauthorized use to info@upmic.io promptly.
We may refuse registration or suspend or terminate accounts that violate these Terms or pose security risks.
3. Acceptable Use
You agree not to reverse engineer or circumvent technical limits; disrupt the Services; access others' accounts without authorization; use the Services to build competing products or scrape data except as we expressly permit; upload illegal or infringing content; or use the Services in violation of law or third-party rights.
Do not submit specially regulated sensitive data unless we have agreed in writing.
We may implement security measures and cooperate with lawful requests from authorities when reasonably necessary.
4. AI Output and Your Responsibility
ADA and web AI features may generate text, code, images, or other materials ("Output") from your prompts ("Input"). Output may be inaccurate, incomplete, outdated, or similar to output provided to others, and is not professional advice.
You are solely responsible for evaluating Output and for decisions you make based on it. Review and test before production, publication, or critical business use.
Rights in Input and Output are addressed in Section 6.
5. Fees, Subscriptions, and Payment
As of the last updated date above, the ADA App may be offered free of charge to individuals; we may introduce fees for the App or certain features in the future. We will disclose pricing, billing cycles, and cancellation options in the App, on our pricing page, or in the Console before charges apply, and obtain consent where required by law.
Paid plans may include subscriptions, usage-based billing, or enterprise agreements. Fees are generally non-refundable except as required by law or as we state in writing. Non-payment may result in downgrade, suspension, or termination.
We may use third-party payment processors; their terms apply when you pay. Price changes will be announced with reasonable notice.
6. Intellectual Property and User Content
We and our licensors own the Services and our materials. We grant you a limited, non-transferable, revocable license to use the Services as intended.
You retain rights in Input you own. To the extent we have rights in Output, we assign those rights to you for use consistent with these Terms, subject to third-party rights and applicable law.
We may use feedback you provide without restriction or compensation.
Third-party trademarks and product information on the site remain the property of their respective owners.
7. Privacy
We process personal data as described in our Privacy Policy. The ADA App, website, and Console are operated under the same entity and consistent account and data practices as disclosed there.
8. Third-Party Services
The Services may link to or integrate third-party services. Those providers are responsible for their offerings; your use is subject to their terms.
9. Changes to the Services and Terms
We may modify, suspend, or discontinue the Services. We may update these Terms; material changes will be communicated by updating the "Last updated" date and through reasonable notice on the site or in the App. Continued use after changes constitutes acceptance.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access for violations or security reasons. Provisions that by nature should survive termination will remain in effect.
11. Disclaimer
To the maximum extent permitted by law, the Services and Output are provided "as is" and "as available" without warranties of any kind.
12. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages.
Our total liability for claims relating to the Services is limited to the greater of (a) amounts you paid us for the relevant paid Services in the twelve (12) months before the event giving rise to the claim, or (b) CNY 100 (or the minimum amount permitted by law if you only use free Services).
13. Governing Law and Disputes
These Terms are governed by the laws of mainland China (excluding conflict-of-law rules). Disputes shall first be resolved through good-faith negotiation; failing that, either party may bring suit in the People’s Court of Longgang District, Shenzhen.
14. Miscellaneous
These Terms, the Privacy Policy, and any additional terms presented at checkout or in the Console form the entire agreement. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition.
